As Partner in Charge of M&A services in SMOUNT’s Shanghai Office, Michelle works actively with well-known global private equity and venture capital firms, which include The Carlyle Group, CITIC Capital, CDH, Merrill Lynch (Asia Pacific), Morgan Stanley, TVG, Pacific Alliance, Prax, etc., as their close financial partner in private placement and Initial Public Offering deals, and thus, has a deep understanding of industry trends, appealing business models, corporate governance, financial management and capital structure from the view of investors;

Before joining SMOUNT, she has been a Group Financial Controller of companies with annual sales over US$100 million, where she successfully helped the group merge and acquire domestic targets for fast expansion. She also developed a company wide comprehensive budgeting and performance evaluation system specifically designed and implemented for the post deal integration;

She joined Ernst & Young Shanghai Office in early 1990’s and left there in a managerial role. During the time with E&Y, she was officially recognized by the company as a top-grade employee and had a successful track record of handling transaction support, assurance, and tax advisory services for the firm’s biggest global clients;

Michelle has a master degree in Accounting and Finance from one of the top 3 business schools in the United Kingdom, and is a licensed Certified Public Accountant ("CPA”) in China.

Her experience and role will provide you with:
Deep understanding of pre and post M&A services needs by having almost 2 decades’ service experience in this field;
Familiarity with IFRS, US GAAP and the new PRC GAAP, together with an extensive knowledge and experience in corporate governance, including internal control processes over financial reporting;

Peitao has a MBA degree from the University of Illinois, a bachelor degree in Physics from Peking University and a qualification of AICPA;

He has more than 28 years’ working experience in finance, in which he has worked as Vice President in Finance of America Online Inc., Chief Financial Officer of Carrefour China and Financial Controller of McDonald’s (China) Co., Ltd.;

As a key member of the management team, Peitao led Carrefour’s growth in China from almost zero to a giant in the market, with annual sales of RMB 8.5 billion, and became the first profitable international retailer in China;

As a Finance Manager in McDonald’s headquarters and Financial Controller in China, Peitao also played an important role in the development of McDonald’s China, growing from 2 restaurants to over 300;

Peitao now also acts as a Visiting Professor of China Peking University and Tsinghua University.

Sally has almost 23 years’ working experience in finance, in which she has 10 years working with McDonald’s China as a senior Finance Manager, working closely with top management for McDonald’s business development in Eastern China. During the period with McDonald’s, she successfully helped the company grow from a representative office of only 10 staff to a distinguishing market leader with annual sales over US$100 million;

As one of our devoted partners, Sally has been in charge of the financial outsourcing services for 9 years. She mainly focuses on assisting SMOUNT’s worldwide clients in their initial setup and subsequent development of finance departments in China. Her competence and responsibility in finding and fixing issues, and designing and implementing necessary accounting and internal control procedures are well recognized by clients, which include US listed companies, European private companies and many Asia-based groups. In line with the rapid growth of these clients, the service scope of Sally and SMOUNT keeps expanding to satisfy the different business objectives in each client’s different stage of development, starting from the pure market share focus in their initial setup stage, to net profit / free cash flow focus in the subsequent growth period, until the final target of maximization of shareholder value is realized in their mature stage.

Honwan has over 28 years' working experience in finance, in which he has worked as a senior executive of KWah Construction (Eastern China), Lexmark Printers (Asia Pacific Region), Artal Food Industries Group, Mountain Cream, Shanghai Centre, Garden Hotel Guangzhou, and a management consultant in Peat Marwick HK;

In SMOUNT, he is mainly responsible for contract personnel services and acts as interim CFO/FC for SMOUNT clients to help them solve issues in internal control, cash management, budgeting, and team competence to ensure the companies are able to explore the China market more efficiently;

He has a master degree in accounting and finance, with dual qualifications as a Chartered Management Accountant of United Kingdom and a Certified Public Accountant in Hong Kong; and

He is an adjunct Corporate Professor at the MBA Centre of Shanghai University since 2005, and a columnist for Hong Kong newspapers, writing articles on financial management and accounting.
